Frequently Asked Questions

Entity Tax Preparation FAQs

Direct answers to common questions regarding tax requirements for Corporations, Partnerships, and LLCs in California and across multi-state operations.

Entity tax form requirements vary by structure. S Corporations file federal Form 1120S, C Corporations file Form 1120, and Partnerships (including multi-member LLCs) file Form 1065. Single-member LLCs default to reporting on Schedule C unless a corporate election has been made.
Schedule K-1 is the tax document issued to partners, LLC members, or S Corp shareholders detailing their share of pass-through income, losses, and deductions. K-1s are filed with the entity return and must be provided to owners so they can complete their personal income tax filings.
California imposes an annual $800 Franchise Tax on most entities operating in the state. Newly formed C-Corps and S-Corps receive an exemption from the $800 minimum tax during their first taxable year, whereas LLCs do not receive a first-year minimum tax waiver. Additionally, LLCs earning over $250,000 pay a California LLC gross revenue fee.
Basis tracks an owner's financial investment in the business. The IRS requires basis schedules to prove whether business losses can be deducted on personal returns and whether distributions exceed basis (which triggers taxable capital gains). We calculate and maintain basis schedules annually for all corporate and partnership owners.
When an entity operates, employs staff, or generates revenue across multiple states, state income must be allocated using apportionment formulas based on sales, payroll, or property. We calculate multi-state apportionment factors and file the necessary state entity returns to maintain full compliance.
Calendar-year Partnerships (Form 1065) and S Corporations (Form 1120S) are due on March 15th. Calendar-year C Corporations (Form 1120) are due on April 15th. Extensions provide an additional 6 months to file, though tax liabilities must still be estimated and paid by the original deadline.
